Terms of Service.

These Terms of Service ("Terms") govern your access to and use of www.cogscontrol.ai (the "Site") and the COGScontrol AI Value Management platform at app.cogscontrol.ai (the "Service"), operated by COGScontrol ("we", "us"). By using the Site or Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.

The Service

COGScontrol provides software that aggregates AI and cloud cost data from providers you connect, attributes those costs across business dimensions, and measures them against business metrics you supply to produce unit-economics and value reporting. Plan features, fair-use AI-spend ceilings, and prices are described on our pricing page; every plan is a fixed subscription, never a percentage of your AI spend.

Accounts and acceptable use

• You are responsible for your account credentials and for activity under your account.
• You may connect provider accounts and import data only where you have the right to do so.
• You may not misuse the Site or Service: no unauthorized access, interference with operation, scraping at disruptive volume, reverse engineering except where permitted by law, or use that violates applicable law.

Your data

You retain all rights to the cost data, business metrics, and other content you submit to the Service ("Customer Data"). You grant us the limited rights needed to operate the Service for you. We treat Customer Data as confidential, isolate it at the organization level, and handle it as described in our Privacy Policy and Security overview.

Subscriptions and billing

Paid plans are billed monthly or annually in advance via our payment processor. Upgrades take effect immediately; downgrades at the next billing cycle, with unused time prorated as described on the pricing page. We do not auto-charge overages when you exceed a tier's fair-use ceiling — we contact you about the right plan instead.

Intellectual property

The Site, Service, and all related software, design, and content (excluding Customer Data) are owned by COGScontrol or its licensors. Third-party names and logos (AWS, Azure, Google Cloud, OpenAI, Anthropic, and others) are trademarks of their respective owners; COGScontrol is not affiliated with or endorsed by them.

Disclaimers

The Site and Service are provided "as is" without warranties of any kind, express or implied. Reporting produced by the Service depends on data supplied by you and by third-party providers; COGScontrol does not provide financial, accounting, or investment advice, and outputs should be validated before being relied on for financial reporting.

Limitation of liability

To the maximum extent permitted by law, COGScontrol will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our aggregate liability arising out of these Terms is limited to the amounts you paid us for the Service in the twelve months before the claim arose (or $100 for free use of the Site or Service).

Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. Upon termination, your right to use the Service ends; data-retention and export terms for your plan continue to apply.

Governing law; changes

These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. We may update these Terms by posting a revised version with a new effective date; continued use after changes constitutes acceptance. Enterprise customers with a signed agreement are governed by that agreement where it conflicts with these Terms.
